By creating an account, accessing, or using Nuvest (the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Service. These Terms apply to the entire Service, including the chat interface, onboarding questionnaire, account settings, and any related features.

Nuvest is an educational platform. Its purpose is to help people build financial literacy — understanding concepts like diversification, retirement accounts, risk tolerance, and investment vehicles — through an AI-assisted, conversational format personalized to the goals and risk tolerance you provide.

Nuvest is not a registered investment adviser, broker-dealer, bank, or financial institution of any kind, and is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulator. Nothing on the Service constitutes an offer, solicitation, or recommendation to buy, sell, or hold any security, cryptocurrency, or other financial instrument.

The Service does not create, and nothing in your use of the Service creates, a fiduciary, advisory, or professional relationship between you and Nuvest. Content generated by the Service — including anything produced by its AI personas ("Shon," "Mary," or any other persona) — is general educational information, not personalized financial, investment, tax, or legal advice, regardless of how directly it is phrased or how personalized it may appear based on the profile information you provided.

Any decision to buy, sell, hold, allocate, or otherwise act on any investment, account, or financial product — whether or not that decision was informed by information from the Service — is made entirely at your own discretion and at your own risk. You are solely responsible for evaluating the merits and risks of any financial decision you make, and for any outcome that results from it, including partial or total loss of principal.

Investing involves risk, including the possible loss of the money invested. Past performance of any investment, strategy, or asset class discussed on the Service is not indicative of future results. Before making any investment decision, you should conduct your own research and, where appropriate, consult a licensed, qualified financial advisor, tax professional, or attorney who is familiar with your individual circumstances.

The Service uses artificial intelligence (including third-party large language models) to generate responses, and may also surface data from third-party market-data providers. AI-generated content can be incomplete, outdated, or simply incorrect, and market data may be delayed or contain errors. The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. Nuvest does not guarantee that any information provided through the Service is accurate, complete, reliable, or current.

To the fullest extent permitted by applicable law, Nuvest, its operators, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages — including but not limited to loss of principal, lost profits, or lost investment opportunity — arising out of or in any way connected to your use of, or inability to use, the Service, or your reliance on any content generated or displayed by the Service, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if advised of the possibility of such damages.

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet this requirement.

You are responsible for maintaining the confidentiality of your account credentials (including any password used to sign in) and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access to your account.

You agree not to use the Service to: violate any applicable law or regulation; attempt to circumvent the Service's scope (for example, by pressuring the AI to act as a licensed advisor, execute trades, or provide advice outside its stated educational purpose); interfere with or disrupt the Service's operation; or reverse-engineer, scrape, or misuse the Service beyond ordinary, individual use.

The Service, including its design, text, and underlying software (excluding content you submit and AI-generated responses to your specific queries), is owned by Nuvest or its licensors and protected by applicable intellectual property laws. You retain rights to the messages you send; by sending them, you grant Nuvest a license to process and store them as needed to operate and improve the Service (see our Privacy practices).

Nuvest is currently offered free of charge. No payment method is required to create an account or use the Service, and nothing is billed automatically.

We do not currently operate a paid subscription plan. If we introduce one in the future, we will update these Terms to describe the applicable pricing, billing, cancellation, and refund terms before any charge applies — no such charge will ever be introduced retroactively or without clear advance notice.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service.

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws principles, unless otherwise required by applicable law.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
